OVERVIEW

Welcome to Vendali Fashion Institute. The terms “we,” “us,” and “our” refer to Vendali Corp, operating under the name Vendali Fashion Institute (VFI). Vendali Corp operates this educational platform and website, including all related information, content, features, tools, and services (collectively, the “Services”), in order to provide you, the student or user (“you”), with access to educational programs, enrollment tools, and related academic resources. The following Terms of Service (the “Terms”) govern your access to and use of our website and Services. By accessing, browsing, or enrolling in any of our educational offerings, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use or access our Services.

SECTION 1 – ACCESS AND ACCOUNT

By using our Services, you represent that you are at least the age of majority in your jurisdiction of residence or that you have obtained parental or guardian consent to use the Services. When enrolling in a course, you may be required to provide personal and payment information, including but not limited to your full name, email address, billing address, and payment details. You represent and warrant that all information you provide is accurate, current, and complete, and that you have all rights necessary to provide such information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Vendali Corp shall not be liable for any loss or damage arising from your failure to protect your credentials.

SECTION 2 – EDUCATIONAL SERVICES

Vendali Fashion Institute offers educational courses, training sessions, and academic programs. All course schedules, instructors, and curricula are subject to change at the sole discretion of VFI. We make every effort to ensure that our course descriptions, dates, and details are accurate; however, VFI does not guarantee that the Services will meet your personal expectations or learning outcomes. Course content and schedules may be modified, postponed, or canceled in accordance with institutional or legal requirements. Enrollment in a course constitutes your acceptance of all academic, financial, and behavioral policies established by VFI and outlined in your signed enrollment contract.

SECTION 3 – ENROLLMENT AND PAYMENTS

All payments, including course deposits and monthly tuition installments, are processed through our online platform and are non-refundable and non-transferable, except in the specific circumstances detailed in our Refund Policy. A student’s seat in a course is secured only after both the deposit payment and the signed enrollment contract have been received and confirmed by VFI. By submitting payment, you agree to fulfill all financial obligations in accordance with the course agreement. Late, missed, or partial payments do not release you from responsibility for the full course balance. You agree to provide accurate and current billing information and authorize VFI to charge your provided payment method for any and all tuition fees due under your enrollment.

SECTION 4 – PRICES AND BILLING TERMS

All prices listed on our website are in U.S. Dollars (USD) unless otherwise indicated. Tuition rates, deposits, and fees are subject to change at any time without prior notice. Unless expressly stated otherwise, posted prices do not include applicable taxes, processing fees, or any third-party charges. You are responsible for all such additional costs. VFI reserves the right to correct any pricing errors or inaccuracies at any time and to adjust or cancel transactions affected by such errors.

SECTION 5 – INTELLECTUAL PROPERTY

All content within the Vendali Fashion Institute website and academic platform — including but not limited to course materials, written content, videos, images, logos, and digital assets — is the exclusive property of Vendali Corp and is protected by applicable intellectual property laws in Puerto Rico and internationally. No portion of our Services may be reproduced, distributed, modified, or otherwise exploited for commercial purposes without the prior written consent of Vendali Corp. Students are granted limited personal access to educational materials solely for academic and non-commercial use during their active enrollment period.

SECTION 6 – THIRD-PARTY SERVICES

VFI may integrate third-party platforms (such as Shopify, payment processors, or scheduling tools) to facilitate operations. We are not responsible for the actions, terms, or policies of any third-party provider. By using our Services, you acknowledge that your information may be processed by such third parties as necessary to complete transactions or provide educational support.

SECTION 7 – CONDUCT AND PROHIBITED USES

You may use the Services only for lawful educational purposes. You agree not to: engage in any activity that violates local, federal, or international law; misuse, copy, distribute, or resell course materials; harass, threaten, or harm other students, faculty, or staff; attempt to gain unauthorized access to our systems or data; or upload or transmit any viruses, spam, or malicious code. Violation of this section may result in immediate termination of your access to the Services and academic expulsion without refund.

SECTION 8 – TERMINATION

VFI reserves the right to terminate or suspend access to any Service, course, or account at any time, with or without notice, for violations of these Terms, institutional policy, or at our discretion. Upon termination, all outstanding amounts owed to VFI remain due and payable. Termination does not waive our right to pursue any other remedies available under law.

SECTION 9 – DISCLAIMER OF WARRANTIES

The Services and all related content are provided “as is” and “as available”, without any representations or warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. VFI does not warrant that the website, online platform, or course delivery will be uninterrupted or error-free, or that the results obtained from using the Services will meet your expectations. Some jurisdictions do not allow the exclusion of implied warranties, so certain limitations may not apply to you.

SECTION 10 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, Vendali Corp, its affiliates, instructors, officers, employees, and service providers shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of our Services, including but not limited to loss of income, data, or opportunity, even if we have been advised of the possibility of such damages. In no event shall our total liability exceed the amount you paid for the specific course giving rise to the claim.

SECTION 11 – INDEMNIFICATION

You agree to indemnify and hold harmless Vendali Corp, its affiliates, and its employees from any claims, damages, or liabilities (including attorney’s fees) arising out of your breach of these Terms, your misuse of the Services, or your violation of applicable law.

SECTION 12 – GOVERNING LAW

These Terms of Service and any related agreements are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in San Juan, Puerto Rico for any legal proceedings arising from or related to these Terms.

SECTION 13 – CHANGES TO TERMS OF SERVICE

Vendali Corp reserves the right, at its sole discretion, to update, modify, or replace any part of these Terms by posting revisions on this website. It is your responsibility to review these Terms periodically. Continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
